These Terms govern use of FillIn — the marketplace connecting restaurants and venues ("Businesses") with hospitality workers ("Pros") for on-demand shifts. By creating an account, posting a shift, or accepting a shift, you agree to these Terms.

1. Overview

FillIn is a platform owned by Winixx Inc., a New York State corporation. "FillIn" is a d/b/a ("doing business as") of Winixx Inc. — not a separate legal entity. FillIn is a relying party on Winixx ID for identity, authentication, and (for Businesses) wallet-based payment. Creating a FillIn account requires signing in through Winixx ID.

FillIn does not employ Pros. Pros are independent workers who choose which shifts to accept; Businesses are independent operators who choose which shifts to post and at what rate. FillIn's role is to connect the two, facilitate scheduling, verified clock-in, and payment.

2. Accounts & Eligibility

You must be at least 18 years old and legally permitted to work in the jurisdiction where you'll use FillIn. Business accounts must be created by someone authorized to act on the Business's behalf.

  • Pros may be required to complete identity verification before claiming shifts.
  • Businesses are responsible for keeping their Winixx ID Organisation wallet funded and for the accuracy of shift details they post.
  • FillIn reserves the right to suspend or permanently ban any account that fails to comply with these Terms or our Privacy Policy, at our discretion.

3. For Businesses

Posting a shift authorizes FillIn to charge your connected wallet for the shift's estimated cost at the time of posting. Shifts are offered to nearby, eligible Pros; the first Pro to accept is confirmed.

Businesses manage their business profile, locations, team members, and shift-creation permissions from their FillIn account. Wallet funds, spend authorization, and transaction history are managed separately, at the Business's Winixx ID Organisation account.

Clock-in is confirmed by a one-time code you provide to the Pro on arrival. Pay is calculated from actual clock-in and clock-out times, capped by the shift's scheduled (or explicitly extended) window — not by the originally posted schedule alone.

Once a Pro has clocked in, the shift cannot be cancelled by the Business through the app; it concludes when the Pro clocks out.

Businesses are solely responsible for ensuring that any Pro assigned to a role involving the service of alcohol meets all applicable state and local certification, licensing, and minimum age requirements for that role.

4. For Pros

Accepting a shift is a commitment to show up and clock in at the posted time and location. Clock-in requires the code provided by the Business on-site and is subject to location verification.

Pay is based on actual worked time, calculated between your real clock-in and clock-out, bounded by the shift's scheduled or approved window. Payout is requested manually and is transferred via Stripe Connect to your linked bank account.

5. Fees & Payments

5.1 Platform Fee

FillIn charges Businesses a flat platform fee equal to one hour's wage at the shift's own hourly rate, per shift, in addition to the shift's wages. This fee does not scale with hours worked and does not increase if a Business adds extra hours to an already-claimed shift.

5.2 Insurance Fee

Pro payouts are net of an itemized insurance fee of $1.25 per shift.

5.3 Full-Time Hiring & Non-Circumvention

A Business that wishes to hire a Pro sourced through FillIn on a full-time or permanent basis must do so through FillIn and pay the applicable one-time conversion fee of $1,250. This obligation applies for six (6) months following the Pro's last shift worked for that Business through FillIn.

A Business remains free to hire any Pro at any time \u2014 this requirement does not restrict who a Business may hire, only that it be done through FillIn. A Business that circumvents FillIn during this period, including by contacting a Pro directly to arrange employment outside the platform, owes FillIn liquidated damages equal to ten times the applicable conversion fee ($12,500), in addition to the conversion fee itself. This amount is a reasonable pre-estimate of the harm caused by circumventing the platform, agreed to in advance because the actual harm of a specific circumvention would be difficult to calculate precisely at the time it occurs.

6. Cancellations & No-Shows

6.1 Cancellations by a Business

A Business may cancel a posted shift at any time before a Pro has clocked in. What happens next depends on timing and whether a Pro has already claimed the shift:

The Pro receives compensation equal to one hour's wage at the shift's rate. FillIn retains one hour's wage as a cancellation fee.

Once a Pro has clocked in, the Business cannot cancel the shift through FillIn. The shift concludes only when the Pro clocks out, and pay is calculated from actual worked time.

6.2 Cancellations & No-Shows by a Pro

A Pro may cancel a claimed shift without penalty if the cancellation happens more than 24 hours before the shift's start time. The Business's wallet is refunded for the shift in every case, regardless of timing.

Cancelling within 24 hours of the shift's start time, or failing to show up at all (a no-show), counts as a late cancellation. After two late cancellations or no-shows, a Pro may be temporarily restricted from claiming new shifts, at FillIn's discretion. Continued violations may result in further restriction or removal from the platform.

6.3 Extending a Shift

A Business may add up to five additional hours to an in-progress, claimed shift, at the shift's original hourly rate.

7. Account Deletion

7.1 Deleting Your FillIn Account

Deleting your FillIn account removes your FillIn profile and shift history. If you're a Pro, this includes your earnings history within FillIn. We retain certain records — such as payout, transaction, and tax-related information — for as long as required by law, even after your FillIn account is deleted.

Deleting your FillIn account does not delete your Winixx ID account. Your Winixx ID account is separate, and it's what lets you access the broader Winixx ecosystem without needing to sign up again for other Winixx products or services. If you'd also like to delete your Winixx ID account, you can do so by logging into your Winixx ID account and following the instructions there.

7.2 For Businesses

Deleting a Business's FillIn account removes that Business's FillIn profile, shift history, and team member records. Wallet spending history is managed by Winixx ID and remains accessible through the Business's Winixx ID Organisation account even after the FillIn account has been deleted.

7.3 Deleting a Winixx ID Account

Winixx ID accounts are deleted separately, directly through Winixx ID — not through FillIn. Deleting a Winixx ID account removes access to the entire Winixx ecosystem, including FillIn. A 30-day grace period follows deletion, during which the account can be recovered by logging back in; after 30 days, the deletion is permanent and cannot be reversed.

8. Prohibited Conduct

  • Misrepresenting your identity, qualifications, or authority to act on a Business's behalf.
  • Circumventing FillIn to arrange payment for a shift outside the platform.
  • Circumventing FillIn to hire a Pro sourced through the platform on a full-time or permanent basis without paying the applicable conversion fee (see Section 5.3).
  • Sharing a shift's clock-in code with anyone other than the Pro actually performing the shift.
  • Harassment, discrimination, or unsafe working conditions directed at or by any user of the platform.

9. Liability

FillIn facilitates connections between independent Businesses and Pros and is not a party to the working relationship between them. To the extent permitted by law, FillIn's liability for any claim arising from use of the platform is limited to the fees FillIn received in connection with the shift giving rise to the claim.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any claim or dispute arising out of or relating to these Terms or your use of FillIn will be brought exclusively in the state or federal courts located in New York County (Manhattan), New York, and you consent to the personal jurisdiction of those courts, except as provided in the Dispute Resolution & Arbitration section below.

11. Dispute Resolution & Arbitration

Before filing a claim, you agree to first contact FillIn and attempt to resolve the dispute informally by writing to us at the address in Section 13. Most concerns can be resolved this way.

If a dispute isn't resolved informally within 60 days, you and FillIn agree that it will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, and will take place in New York County, New York, or another mutually agreed location, or may be conducted remotely where AAA's rules allow.

Class action waiver: disputes will be resolved only on an individual basis. Neither you nor FillIn may bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Opt-out: you may opt out of this arbitration agreement by writing to us within 30 days of first creating a FillIn account, using the contact details in Section 13, and stating that you decline to arbitrate. If you opt out, disputes will instead be resolved under Section 10 (Governing Law & Disputes).

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or by email before they take effect. Continued use of FillIn after a change takes effect constitutes acceptance of the updated Terms.
